1. NO PURCHASE NECESSARY. PURCHASE WILL NOT ENHANCE CHANCES OF WINNING. Open and offered only to legal residents of the 50 United States and District of Columbia, 18 years of age and older. Employees and directors of BestBuy.com, LLC (collectively, "Sponsor"), Archway Marketing Services ("Administrator"), and their parent entities, subsidiaries and affiliated companies, advertising, promotion, or production agencies, any companies who are performing work in Best Buy stores at Best Buy's request, and Web masters and Web suppliers (and their respective IRS dependents, immediate family members [children, spouse, parents, siblings] and individuals residing in their same household) are not eligible to participate. Void where prohibited. By participating, entrants agree to these Official Rules and the decisions of the Sponsor, which are final and binding in all matters relating to this Sweepstakes. Sweepstakes begins on January 8, 2006 and ends on February 5, 2006 ("Promotional Period").

2. HOW TO ENTER: Visit www.bestbuy.com/gearup during the Promotional Period. Click on the Sweepstakes icon and follow the directions for completing & submitting the survey and online entry form. Upon completion, you will automatically be entered into the Sweepstakes. Sweepstakes begins at 12:00:01 a.m. Central Time (CT) on January 8, 2006. Entries must be received no later than 11:59:59 p.m. CT on February 5, 2006. You must complete the survey to be entered into the Sweepstakes, but your answers to the survey will have no affect on your ability to participate or win. Administrator's computer will be the official time clock for the Sweepstakes. Any attempt at email entry is void. Any attempt by any person to obtain more than the stated number of entries by using multiple/different email accounts or any other methods will void all of that person's entries and that person will be disqualified. Limit one entry per person/address/email address during the Promotional Period. Any attempt at email or other Internet entry is void. Neither Sponsor nor its agencies are responsible for illegible, lost, late, damaged, incomplete, misdirected, or stolen mail or entries.

3. DRAWING: A random drawing will be conducted on or about February 13, 2006 from among all eligible entries received, by Administrator, an independent judging agency, whose decisions are final and binding in all matters relating to this Sweepstakes. Limit one prize per person/household. Winners will be notified by telephone, postal mail, express mail and/or e-mail on or about February 15, 2006.

4. PRIZES/ODDS: One (1) Grand Prize: One Home Theater Package. Package could include a 42" flat panel TV, 5.1 surround sound, upconvert DVD player/recorder, cables, wall mount, Harmony remote and DirecTV HD Receiver. Prize will be awarded in the form of a Best Buy Gift Card. Approximate Retail Value ("ARV") $8,000.00. Five (5) First Prizes: $500 Best Buy Gift Card. ARV: $500/each. Total ARV: $2,500.00. Ten (10) Second Prizes: $250 Best Buy Gift Card. ARV: $250/each. Total ARV: $2,500.00. Twenty (20) Third Prizes: $100 Best Buy Gift Card. ARV: $100/each. Total ARV: $2,000.00. Total ARV of all prizes $15,000.00. Gift Cards can only be used for future purchases at Best Buy retail locations and on BestBuy.com. Gift Cards may be used to pay shipping charges and/or taxes on purchases; and any remaining balance thereafter will be issued in the form of another Best Buy Gift Card. Gift Cards are NOT redeemable/exchangeable for cash. Winners may not substitute, assign or transfer prizes, or redeem prizes for cash, but Sponsor reserves the right to substitute prize with a prize of equal or greater value should the advertised prize become unavailable. Prizes will not be fulfilled outside the 50 United States or D.C.. If any winner is deemed a minor in the state of his/her residency, prizes may be awarded to, or in the name of, minor's parent/legal guardian. Odds of winning depend on the number of eligible entries received.

5. CONDITIONS OF PARTICIPATION: Participants agree (a) that Sponsor, and its parent entities, subsidiaries and affiliated companies, advertising and promotion agencies, and all of their respective officers, directors, employees, representatives and agents, will have no liability whatsoever for, and shall be held harmless by participants against any liability for any injuries, losses or damages of any kind to persons, including death, or property resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of any prize or participation in this Sweepstakes or any Sweepstakes related activity; or for any typographical or other error in the printing, offering or announcement of any prize; and (b) except where legally prohibited, winners grant (and agree to confirm that grant in writing) permission for Sponsor and those acting under its authority to use his/her name, photograph, voice and/or likeness, for advertising, trade and/or publicity purposes without additional compensation in all media now known or hereafter discovered, worldwide and on the Internet and/or World Wide Web, without notice, review or approval. Prize winners may be required to complete, sign and return an Affidavit of Eligibility, a Liability Release and where lawful, a Publicity Release within 14 days of notification. If documents are not returned on a timely basis, or if prize is returned as non-deliverable, or if winner is found to be ineligible or not in compliance with these Official Rules, such prize will be forfeited and awarded to an alternate winner. If a winner is a minor in his/her jurisdiction of primary residence, prize may be awarded in the name of or to his/her parent or legal guardian, who must execute all documents and agree to all obligations and undertakings required of the winner in these Official Rules both on behalf of himself/herself and the winning minor. LIMITATIONS ON LIABILITY: Neither Sponsor nor its agencies are responsible for illegible, lost, late, damaged, destroyed, incomplete, postage due, unintelligible, non-delivered, misdirected, stolen entries; or for incomplete, inaccurate, lost, interrupted or unavailable network, satellite, telephone networks or lines, computer on-line systems, computer equipment, software, viruses or bugs, servers or providers, or other connections, availability or accessibility; or for unauthorized access to, or alteration of entries; or miscommunications, failed computer, telephone, satellite, or other technical failure; or for jumbled, scrambled, delayed, or misdirected transmissions, or technical malfunctions, failures or difficulties; or any failure of any message to be received by or from Sponsor for any reason, including but not limited to traffic congestion of wireless waves; or for any other errors of any kind, whether human, mechanical, electronic or network; or for the incorrect or inaccurate capture of entry or other information, or the failure to capture any such information. Persons who tamper with or abuse any aspect of the Sweepstakes, as solely determined by the Sponsor, will be disqualified, and Sponsor reserves the right to terminate such entrant's eligibility. Neither Sponsor nor its agencies are responsible for injury or damage to participants' or to any other person's wireless device related to or resulting from participating in this Sweepstakes.
